General Terms and Conditions of Sale
1. General Information
1.1. The sale of products (hereinafter the "Products") offered on our website www.valentinobymariovalentino.it (hereinafter the "Site") is governed by these general terms and conditions of sale (hereinafter the "General Conditions").
1.2. The Products are sold directly by Mario Valentino S.p.A., an Italian company with its registered office at Via Fontanelle no. 85, 80136 Naples - Italy, registered with the Naples Companies Register Rea NA-292524, VAT no. 00694090630 (hereinafter "MV")
1.3. MV reserves the right to apply specific contractual provisions to one or more orders (hereinafter "Order") which will be indicated in the summary before the Customer confirms the same (hereinafter the "Specific Provisions"). In such case, the contractual conditions applicable to the individual Order shall be both the General Conditions and the Specific Provisions. In the event of a conflict between the General Conditions and the Specific Provisions, the latter shall prevail over the General Conditions for the expressly derogated aspects.
1.4. MV may modify or amend these General Conditions at any time. The changes will take effect from the moment of their publication on the Site, without prejudice to the fact that any Orders already accepted by MV will continue to be governed exclusively by the General Conditions and Specific Provisions in force at the time of the conclusion of each Order.
2. Commercial Policy – restrictions on the sale and delivery of Products
2.1. The Products displayed on the Site are offered for sale exclusively to natural persons acting for purposes that do not fall within the scope of their commercial, industrial, or professional activity (hereinafter the "Customers").
2.2. In consideration of the above, MV reserves the right not to process orders from parties other than Customers and to set, for each Product category, a maximum number of Products that can be purchased.
2.3. The Customer acknowledges and agrees that the Products can only be shipped to the Countries listed in article 7.2 of these General Terms and Conditions. The billing address and the shipping address must be within the same Country.
2.4. The Customer acknowledges and agrees that, for security reasons, shipments of Orders addressed to a P.O. box or to recipients and/or addresses that cannot be identified will not be made.
2.5. All communications to the Customer will be made by MV to the email address provided by the Customer during registration or at the time of purchase if the Customer checks out as a guest. Any changes to this address must be promptly communicated in writing to MV.
3. Purchase Methods
3.1. Each Product offered for sale is described and viewable on the Site where photographic images of the Products are available, along with the unit price including VAT, the colors, and the different sizes, measurements and/or formats available (where applicable).
3.2. Some Products may be displayed on the Site exclusively for promotional advertising purposes. Such Products are not for sale and cannot be purchased.
3.3. Although MV takes measures and precautions to ensure that the photographs shown on the Site are faithful reproductions of its Products, some variations are always possible due to the technical characteristics or color resolution of the Customer's computer. Consequently, the images and colors of the Products offered for sale may, in some cases, not correspond to the real ones. Therefore, the images and colors should be considered as indicative and exemplary. MV will not be held responsible for any discrepancy in the images or colors of the Products due to the aforementioned reasons.
3.4. The Customer, in order to place each Order for the selected Products, must carefully follow the instructions and procedures made available on the Site.
3.5. The Customer is requested to verify the accuracy of the content of each Order before confirming it, entering all the required information on the Site. Before finalizing each Order, the Customer will be asked to confirm that they have read and accepted the Order. If the content of the Order and/or the General Conditions are not accepted, it will not be possible to complete the Order.
3.6. Before the Customer confirms the Order, it can always be modified or corrected. Once confirmed, the Order cannot be further modified, but only canceled, except as provided in article 5.4 of these General Conditions and by mandatory legal provisions.
3.7. At the end of the purchase procedure, it is recommended to download, save, or print all the Order conditions, including the General Conditions in force on the date of conclusion of the same. The Customer will also receive a confirmation email (hereinafter "Email") acknowledging receipt of the Order placed, containing a summary of the information already provided in the Order form (i.e., Customer data, shipping methods and addresses, indication of the model, color, and size/measurement of the selected Products, indication of the price and any delivery costs).
3.8. The Customer who has registered on the Site can at any time monitor the status of their Order by entering the reserved area "Customer Area". In any case, the status of the Order can be monitored by all Customers by sending a request to Customer Care (hereinafter "Customer Care") at the following email address: customer@valentinoshoes.com
3.9. Each Order confirmed by the Customer will be automatically sent to Mario Valentino S.p.A. and will be archived at the company's operational headquarters, located at Via Fontanelle, 85, 80136 Naples, (NA).
4. Prices and payment methods
4.1. The prices of the Products indicated on the Site are expressed in EURO and include VAT.
4.2. The total amount of each Order will also include the shipping costs calculated as specified in the following point 7 "Shipping Costs".
4.3. MV reserves the right to modify the prices of the Products offered for sale at any time and without notice. The changes will take effect from the moment they are published on the Site, without prejudice to the fact that Orders already confirmed by the Customer will continue to be subject to the prices in effect at the time of the conclusion of each order.
4.4. Payment for the Products can only be made by credit card. The accepted credit cards are those indicated in the dedicated section of the Site "Payment Method".
4.5. Payment transactions by credit card will be governed by the regulations adopted by the individual credit card Networks, including those concerning spending limits.
4.6. Confirmation of the successful processing of each Order will only take place after verification of the credit card details and upon receipt of authorization for the charge from the credit card issuing company used by the Customer to make the charge on said credit card. The charge to the Customer's credit card will be made exclusively after the shipment of each Order.
4.7. It is expressly understood that, at the moment each Order is transmitted to the internal MV department responsible for its processing, an email confirming the actual acceptance of the order will be sent to the Customer. In some cases (particularly short order processing times), this email may be omitted and the customer will only receive the confirmation of the shipment of the Products.
4.8. Credit card data will be handled with the utmost confidentiality directly by the circuit operator. MV is not responsible for any fraudulent or unlawful use of credit cards by third parties when paying for products purchased on the website www.valentinobymariovalentino.it. In this regard, MV reserves the right to cancel the transaction and annul Orders in case of reports of fraudulent use of credit cards. To ensure greater security, additional information or documents may be requested at any time, without which MV reserves the right not to accept the transaction.
5. Product Availability
5.1. The Customer acknowledges that the stock of Products offered on the Site is limited.
5.2. Occasionally, one or more Products may be unavailable. In such cases, MV will inform the Customer via email within 20 working days from the day the Customer confirmed their Order.
5.3. In the event that none of the Products ordered by the Customer are available, Customer Care will send an email to the Customer informing them that the Order cannot be processed and MV will cancel the related Order. In such case, no charge will be made to the Customer's credit card.
5.4. In the event that only one or more Products in the Order are available, the Customer Service will send an email to the Customer detailing the unavailable items. The Order will still be processed for the available Products, and the Customer will be charged only the amount corresponding to those, unless the Customer informs MV in writing of their intention to cancel the entire Order.
6. Shipping and Delivery
6.1. MV commits to processing each order within 2 business days following the order confirmation date. Processing times may vary during holidays or company closure periods. In such cases, MV still commits to processing each order within 24 business days starting from the business day following the day on which the Customer submitted the Order.
6.2. At the moment the Products are shipped, the Customer will be informed via email.
6.3. TheCustomer Careis available to the Customer to provide assistance on the status of the Order and for any issues related to delivery. However, the service may experience delays and/or interruptions during company closure periods.
6.4. MV's partner couriers are DHL, Poste Italiane, and Fedex.
6.5. At the time of delivery of the products, the Customer is required to check the package before accepting it. Specifically, it is important to verify that:
- The packaging must be intact, undamaged, and unaltered.
- Any damage to the packaging and/or product must be immediately reported on the courier's delivery note, with the phrase "Accepted with reservation for inspection" along with an indication of the type of damage present.
- Any issues must be reported to the address customer@valentinoshoes.com, within 7 days from the date of delivery to allow for the appropriate checks to be carried out.
6.6. If, in the case of obvious damage upon delivery, the Customer accepts without making a reservation on the delivery note, they will not be able to make claims against MV, without prejudice to the provisions of article 9 regarding hidden defects.
6.7. In the event of non-delivery of the Products, or if the delivery note contains a report of missing and/or damaged items, MV will refund the Customer as soon as possible.
7. Shipping Costs
7.1. Delivery costs are the responsibility of the customer, unless otherwise indicated in the Product Technical Sheet. The amount (including VAT) of these costs, which may vary depending on the delivery methods chosen by the customer, as well as the destination, number, and weight/volume of the Products the customer decides to purchase, will be expressly and separately indicated for each Product in the Product Technical Sheet and, in any case, before the customer submits the purchase order. This amount will also be included in the "Order Registration Confirmation" and "Shipping Confirmation" emails. For the delivery of Products to certain territorial areas, specifically indicated during the purchase process, an additional charge ("shipping cost contribution for remote area") may be required, the exact amount of which will be clearly indicated during the purchase process and before the order is submitted.
7.2. Where applicable, customs duties and charges are the responsibility of the customer and will not be refunded in the event of termination, for any reason, of the purchase contract. In any case, the amount due for non-refundable customs duties and charges in the event of termination of the purchase contract will be explicitly indicated in the purchase procedure before the customer submits the order.
7.3. Unless otherwise specified in the Order, the shipping costs, determined as a flat rate, will be charged to the Customer as indicated below:

8. Right of withdrawal
8.1. Pursuant to art. 52 of Legislative Decree 206/2005, as amended by Legislative Decree 21/2014, the Customer has the right to withdraw, in whole or in part, from each Order, without any penalty and without specifying the reason, within and no later than 14 days from the day of receipt of the Products. After this period, it will no longer be possible to exercise the right of withdrawal.
8.2. To exercise the right of withdrawal referred to in the previous article 8.1, the customer must send MV a communication to that effect, within the indicated time limits, to the following email addresscustomer@valentinoshoes.com. In the event of exercising the right of withdrawal, the Customer must return the Products to MV within the aforementioned period by handing them over to the courier for shipment together with the return form (hereinafter the "Return Form") included in the product packaging, duly completed. The Customer must resend the products at their own expense to MV within 14 (fourteen) days from the withdrawal to the following address:

8.3. The goods must be returned intact, complete with all its parts and in the original packaging, kept and possibly used only for the time strictly necessary to determine and verify their nature, characteristics, and size, according to normal diligence, without any signs of wear or dirt, in compliance with the conditions set out below:
- The right of withdrawal may apply to the product purchased in its entirety; it is not possible to exercise withdrawal on only part of the purchased product (e.g., accessories, components, etc.).
- for the withdrawal to be possible, the product must be intact and returned in the original packaging, complete in all its parts, including packaging and any documentation and accessories (labels, tags, seals, etc.);
- al prodotto restituito il Cliente dovrà allegare il modulo di reso cartaceo, debitamente compilato in ogni sua parte;
8.4. Shipping costs (and any customs fees, if applicable) for the return of the goods will be the sole responsibility of the Customer:
- The return of products is the responsibility of the customer and must be carried out via express courier with the possibility to track the shipment until the receipt confirmation at the warehouse indicated by MV;
- MV will not be liable in any way for damage, theft, or loss occurring during or in connection with the shipment for the return.
- MV may suspend the refund until the returned product is received or until the customer proves that the product has been correctly shipped back, if earlier.
8.5. If the withdrawal is not exercised in the manner indicated above, MV will not accept the returned Products and will return the Products to the Customer without additional shipping costs.
8.6. If the withdrawal is validly exercised, MV will refund the amounts corresponding to the value of the returned Products - excluding shipping costs - as soon as possible and in any case within 14 days from the date of receipt of the Products.
MV will refund the Customer the full amount already paid within 14 (fourteen) days from the withdrawal, through a reversal procedure of the charged amount, using the same payment method used by the Customer for the initial transaction, unless otherwise agreed. In any case, the Customer will not incur any costs as a result of this refund.
8.7. Said amounts will be considered refunded within the terms if they are actually credited back with a value date not later than the expiry of the aforementioned term. MV cannot in any way be held responsible for delays in the actual crediting attributable to the Bank and/or the credit card issuer used for the purchase.
9. Product Replacement
9.1. In some cases, detailed below, the Customer may request the replacement of the purchased product with other products as an alternative to the refund of the price paid for the returned product.The request for product exchange is subject to the following conditions:

a. The Customer may request the replacement of one or more purchased products within 14 (fourteen) days from the delivery of the products by filling out the Return Form and notifying via e-mail to the address:customer@valentinoshoes.comby the aforementioned date. The products to be replaced must be returned within 14 (fourteen) days;

b. The Customer may request the replacement of one or more purchased products with products of the same model but in a different size and/or color.

c. the Customer may request only one replacement for each product purchased;
-
d. the product must be returned intact, together with the original packaging (including any accessories, labels, tags, seals, etc.) and may be used only for the time strictly necessary to determine and verify its nature, characteristics, and size, according to normal diligence, without any signs of wear or dirt;

e. the products subject to replacement that are part of a single order must be reshipped in a single shipment at MV's expense
-
c. MV reserves the right to refuse products belonging to a single order that are returned at different times and with different shipments.
9.2. If the above conditions are properly fulfilled, once the communication has been sent via email and the Return Form containing the replacement request has been completed, MV will process the request and send confirmation via email. If the above conditions are not met, MV will inform the Customer and return the products to the Customer at the Customer's expense.
9.3. After receiving the product subject to replacement, the necessary checks on the returned product will be carried out and subsequently the availability of the requested replacement product in stock will be verified.
9.4. If the products selected for replacement are not available in stock, the replacement request cannot be accepted and the Customer will be refunded the price paid for the returned product in accordance with the provisions of the Right of Withdrawal. In any case, the Customer will be contacted by the Customer Service if their replacement request is not possible.
9.5. If the products requested for replacement are available in stock, you will receive a confirmation email regarding the shipment of the replacement product. The shipment will be made within 30 days from the replacement request following verification of the condition of the replaced product.
9.6. For product replacement, the Customer may contact the courier indicated by MV, duly communicated via email during the order processing. It is understood that the Customer is still free to use other couriers; in any case, the related shipping costs will be fully borne by MV.
10. Warranty
10.1. The Products are covered by the legal warranty of conformity pursuant to Articles 128 et seq. of Legislative Decree 206/2005 ("Consumer Code"). This warranty is reserved for Customers. MV is therefore responsible towards Customers for any conformity defect existing at the time of delivery of the Products and that manifests within two years from the delivery of the Products. In such case, the Customer is entitled to the restoration, at no cost, of the conformity of the Products through repair or replacement, or to an appropriate price reduction or contract termination according to the terms and conditions set forth in Article 130 of the Consumer Code.
10.2.MV reserves the right to evaluate the defects and non-conformities reported by the Customer and, after carrying out quality checks to verify the actual non-conformity of the Product, will provide feedback via email to the address provided during the registration process on the Site or at the time of order submission. In case of defect or non-conformity, the consumer will be entitled to repair or replacement of the product if explicitly requested; if such remedies are impossible or excessively burdensome, as well as in other cases provided by law, the Customer will be entitled to a refund of the price paid, using the same payment method used for the initial transaction.
10.3. The Customer forfeits the aforementioned rights if they do not report the non-conformity defect to MV within two months from the date they discovered it. The action to assert defects not fraudulently concealed by MV is, in any case, subject to a statute of limitations of twenty-six months from the delivery of the goods.
10.4. The costs necessary to make the Products compliant with the contract, including shipping expenses, will be borne by MV.
10.5. The Customer acknowledges that it will not be possible to return non-compliant Products purchased on the Site at the physical stores of authorized retailers.
10.6. For the return of defective Products, the Customer must inform Customer Care via email (customer@valentinoshoes.com), who will initiate the process. To learn more about how we handle and protect your personal data, read here.
10.7. The Customer must return the defective Products to MV by handing them over to the courier for shipment along with the Return Form included in the Product packaging, duly completed.
10.8. The Products, as far as possible, must be returned in their original condition and packaging with the identification tag still attached.
10.9. For the return of defective Products, the Customer may contact the courier indicated by MV, duly communicated during the order processing. All information is contained in the Return Form included inside the Product packaging. It is understood that the Customer is still free to use other couriers; in any case, the related shipping costs will be fully borne by MV.
11. Applicable Law and Disputes
11.1. These General Conditions and, consequently, the contracts concluded with Customers are governed by Italian law (in particular, the Consumer Code and Legislative Decree No. 70 of April 9, 2003, "E-commerce Decree") and must be interpreted accordingly.
11.2. For all disputes related to Orders and/or these General Conditions, the court of the place of domicile or residence of the Customer shall have jurisdiction according to the applicable law, or at the Customer's choice, the Court of Naples. Alternatively, the Customer may choose to access the platform for out-of-court dispute resolution provided by the European Commission, available on the websitehttp://ec.europa.eu/odr
