General Terms and Conditions of Sale

 

  1. General information

 

1.1. The sale of the products (hereinafter the “Products”) offered on our website www.valentinobymariovalentino.it (hereinafter the “Website”), is governed by these general terms and conditions of sale (hereinafter the “General Terms and Conditions”).

1.2. The Products are sold directly by Mario Valentino S.p.A., a company governed by Italian law, with registered office at Via Fontanelle no. 85, 80136 Naples - Italy, registration number with the Naples Companies Register Rea NA-292524, VAT no. 00694090630 (hereinafter “MV”)

1.3. MV reserves the right to apply specific contractual provisions to one or more orders (hereinafter “Order”), which will be shown in the summary before the Customer confirms the same (hereinafter the “Specific Provisions”). In such case, the contractual terms applicable to the individual Order will be both the General Terms and Conditions and the Specific Provisions. In the event of any conflict between the General Terms and Conditions and the Specific Provisions, the latter shall prevail over the General Terms and Conditions for the aspects expressly derogated.

1.4. MV may modify or amend these General Terms and Conditions at any time. The changes will take effect from the time they are published on the Website, it being understood that any Orders already accepted by MV will continue to be governed exclusively by the General Terms and Conditions and the Specific Provisions in force at the time each Order was concluded.

 

  1. Commercial Policy – limitations on the sale and delivery of Products

 

2.1. The Products shown on the Website are offered for sale exclusively to natural persons acting for purposes outside their commercial, industrial or professional activity (hereinafter the “Customers”).

2.2. In view of the above, MV reserves the right not to process orders from parties other than Customers and to set, for each Product category, a maximum number of Products that can be purchased.

2.3. The Customer acknowledges and accepts that the Products may be shipped only to the Countries listed in article 7.2 of these General Terms and Conditions. The billing address and the shipping address must be within the same Country.

2.4. The Customer acknowledges and accepts that, for security reasons, no shipments will be made to P.O. boxes or to unidentifiable recipients and/or addresses.

2.5. All communications to the Customer will be made by MV to the email address provided by the Customer during registration or during purchase if the Customer checks out as a guest. Any changes to this address must be promptly communicated in writing to MV.

 

  1. Purchase procedure

 

3.1. Each Product offered for sale is described and viewable on the Website, where photographic images of the Products, the related unit price including VAT, colors and the different sizes, measurements and/or formats available (where applicable) are provided.

3.2. Some Products may be displayed on the Website for promotional/advertising purposes only. Such Products are not for sale and cannot be purchased.

3.3. Although MV adopts measures and precautions to ensure that the photographs shown on the Website are faithful reproductions of its Products, some variations may occur due to the technical characteristics or color resolution of the Customer’s computer. Consequently, the images and colors of the Products offered for sale may, in some cases, not correspond to the actual ones. The images and colors should therefore be considered as indicative and exemplary. MV shall not be liable for any mismatch between the images or colors of the Products due to the above reasons.

3.4. To place each Order for the selected Products, the Customer must carefully follow the instructions and procedures provided on the Website.

3.5. The Customer is asked to verify the accuracy of the contents of each Order before confirming it, entering all the information requested on the Website. Before concluding each Order, the Customer will be asked to confirm that they have read and accept the Order. If the content of the Order and/or the General Terms and Conditions are not accepted, it will not be possible to complete the Order.

3.6. Before the Customer confirms the Order, it may always be modified or corrected. The confirmed Order can no longer be modified, but only canceled, except as provided in article 5.4 of these General Terms and Conditions and by mandatory provisions of law.

3.7. At the end of the purchase procedure, it is advisable to download, save or print all the terms of the Order, including the General Terms and Conditions in force on the date it was concluded. The Customer will also receive a confirmation email (hereinafter “Email”) acknowledging receipt of the Order placed, containing a summary of the information already provided in the Order form (i.e., Customer data, shipping methods and addresses, indication of the model, color and size/measurement of the selected Products, the price and any delivery costs).

3.8. The Customer who has registered on the Website can, at any time, monitor the status of their Order by entering the reserved area “Customer Area”. In any case, the status of the Order can be monitored by all Customers by sending a request to Customer Care (hereinafter “Customer Care”) at the following email address: customer@valentinoshoes.com

3.9. Each Order confirmed by the Customer will be sent automatically to Mario Valentino S.p.A. and will be archived at its operating office located at Via Fontanelle,85 , 80136 Naples, (NA).

 

  1. Prices and payment methods

 

4.1. The prices of the Products indicated on the Website are expressed in EURO and include VAT.

4.2. The total amount of each Order will also include the shipping costs calculated as specified in point 7 “Shipping Costs” below.

4.3. MV reserves the right to modify the prices of the Products offered for sale at any time and without notice. The changes will take effect from the time they are published on the Website, it being understood that the prices in force at the time each order is concluded will continue to apply to Orders already confirmed by the Customer.

4.4. Payment for the Products may be made exclusively by credit card. The credit cards accepted are those indicated in the specific “Payment Method” section of the Website.

4.5. Credit card payment transactions will be governed by the regulations adopted by the individual credit card networks, including spending limits.

4.6. Confirmation that each Order has been successfully placed will occur only after verification of the credit card details and receipt of authorization to charge by the company issuing the credit card used by the Customer to make the charge to said credit card. The charge to the Customer’s credit card will be made only after shipment of each Order.

4.7. It is expressly understood that, when each Order is forwarded to MV’s internal department responsible for its fulfillment, an email acknowledging actual processing will be sent to the Customer. In some cases (particularly short order processing times), said email may be omitted and the customer will receive only the confirmation of shipment of the Products.

4.8. Credit card data will be handled with the utmost confidentiality directly by the network operator. MV is not responsible for any fraudulent or unlawful use of credit cards by third parties when paying for products purchased on the website www.valentinobymariovalentino.it. To this end, MV reserves the right to cancel the transaction and to cancel Orders in the event of reports of fraudulent use of credit cards. To ensure greater security, additional information or documents may be requested at any time, without which MV reserves the right not to accept the transaction.

 

  1. Product availability

 

5.1. The Customer acknowledges that the stocks of Products offered on the Website are limited.

5.2. Occasionally, one or more Products may be unavailable. In such case, MV will inform the Customer by email within 20 business days from the day the Customer confirmed their Order.

5.3. If none of the Products ordered by the Customer is available, Customer Care will send an email to the Customer informing them that the Order cannot be processed and MV will cancel the related Order. In this case, no charge will be made to the Customer’s credit card.

5.4. If, however, only one or more of the Products in the Order are available, Customer Service will send an email to the Customer with details of the unavailable items. The Order will in any case be processed for the available Products, and only the amount corresponding to them will be charged to the Customer, unless the Customer informs MV in writing of their intention to cancel the entire Order.

 

  1. Shipping and Delivery

 

6.1. MV undertakes to process each order within 2 business days following the order confirmation date. Processing times may vary during holidays or company closure periods. In such cases, MV nevertheless undertakes to process every order within 24 business days starting from the business day following the day on which the Customer submitted the Order.

6.2. When the Products are shipped, the Customer will be informed by email.

6.3. The Customer Care is available to the Customer to provide assistance on the status of the Order and for any delivery-related issues. The service may, however, experience delays and/or interruptions during company closure periods.

6.4. MV’s partner couriers are DHL, Poste Italiane and Fedex.

6.5. Upon delivery of the products, the Customer must check the package before accepting it. Specifically, it is important to verify that:

  • The packaging is intact, undamaged, and unaltered.
  • Any damage to the packaging and/or product must be immediately noted on the courier’s delivery slip by adding the wording “Accepted subject to inspection” with an indication of the type of damage present.
  • Any issues must be reported to customer@valentinoshoes.com, within 7 days of delivery to allow appropriate checks to be carried out.

    6.6. If, in the event of obvious damage upon delivery, the Customer accepts without noting a reservation on the delivery slip, they will not be able to make claims against MV, without prejudice to the provisions of article 9 concerning hidden defects.

    6.7. In the event of non-delivery of the Products, or if the delivery slip contains a report of missing and/or damaged items, MV will refund the Customer as soon as possible.

    1. Shipping Costs

    7.1. Delivery costs are payable by the customer, unless otherwise indicated on the Product Page. The amount (including VAT) of such costs, which may vary depending on the delivery method chosen by the customer, as well as on the destination, the number and the weight/volume of the Products the customer decides to purchase, will be expressly and separately indicated for the individual Product on the Product Page and, in any case, before the customer submits the purchase order. This amount will finally be stated in the “Order Registration Confirmation” and “Shipping Confirmation” emails. For delivery of Products to certain geographical areas, specifically indicated during the purchase process, an additional fee (“remote area shipping surcharge”) may be required, the exact amount of which will be clearly indicated during the purchase process and before the order is submitted.

    7.2. Where applicable, customs duties and charges are payable by the customer and will not be refunded in the event of termination, for any reason, of the purchase contract. In any case, the amount due for customs duties and charges that are non-refundable in the event of termination of the purchase contract will be explicitly indicated during the purchase process, before the customer submits the order.

    7.3. Unless otherwise specified in the Order, shipping costs, determined as a flat rate, will be charged to the Customer as indicated below:

    1. Right of withdrawal

    8.1. Pursuant to art. 52 of Legislative Decree 206/2005, as amended by Legislative Decree 21/2014, the Customer has the right to withdraw, in whole or in part, from each Order, without any penalty and without specifying the reason, within and no later than 14 days from the day of receipt of the Products. After this period, it will no longer be possible to exercise the right of withdrawal.

    8.2. The Customer may exercise the right of withdrawal by accessing their customer area and starting the procedure directly from the order page, within the prescribed time limits.
    Once the request has been submitted, the products must be returned within 14 (fourteen) days from the notice of withdrawal, including a copy of the order in the package. Shipping is at the Customer’s expense, and the return must be sent to the following address:

    8.3. The goods must be returned intact, complete with all parts and in the original packaging, kept and, if necessary, used only for the time strictly necessary to determine and verify their nature, characteristics and size, with due care and without any signs of wear or dirt, in compliance with the conditions set out below:

    • the right of withdrawal may be applied to the purchased product in its entirety; it is not possible to exercise withdrawal only on part of the purchased product (e.g., accessories, components, etc.);
    • for withdrawal to be possible, the product must be intact and returned in the original packaging, complete in all its parts, including packaging and any documentation and accessories (labels, tags, tags, seals, etc.);
    • the Customer must enclose a copy of the order with the returned product.

    8.4. Return shipping costs (and any customs charges, if applicable) will be borne exclusively by the Customer:

    • the return of products is under the customer’s responsibility and must be carried out via express courier with the ability to track the shipment up to proof of receipt at the warehouse indicated by MV;
    • MV will not, under any circumstances, be liable for damage, theft or loss occurring during or in connection with return shipment.
    • MV may withhold the refund until receipt of the returned product or until the customer proves that the product has been correctly shipped back, if earlier.

    8.5. If the right of withdrawal is not exercised in the manner indicated above, MV will not accept the returned Products and will return the Products to the Customer without additional shipping costs.

    8.6. If, on the other hand, the right of withdrawal is validly exercised, MV will re-credit the amounts corresponding to the value of the returned Products – net of shipping costs – as soon as possible and in any case within 14 days from the date of receipt of the Products.
    MV will refund the Customer the full amount already paid within 14 (fourteen) days from withdrawal, by reversing the charged amount, using the same means of payment used by the Customer for the initial transaction, unless otherwise agreed. In any case, the Customer will not incur any costs as a result of said refund.

    8.7. These amounts shall be considered refunded within the deadline if they are actually re-credited with a value date not later than the expiry of said period. MV cannot in any way be held liable for delays in the actual re-crediting attributable to the Bank and/or the credit card operator used for the purchase.

     

    1. Product replacement


    9.1. In certain cases, detailed below, the Customer may request the replacement of the purchased product with other products as an alternative to a refund of the price paid for the returned product.
    The product exchange request is subject to the following conditions:

    • a. the Customer may request replacement of one or more purchased products within 14 (fourteen) days from delivery of the products by notifying this via email to: customer@valentinoshoes.com by the aforementioned date. The products to be replaced must be sent back within 14 (fourteen) days;

    • b. the Customer may request replacement of one or more purchased products with products of the same model but in a different size and/or color.

    • c. the Customer may request only one replacement for each purchased product;

    • d. the product must be returned intact, together with the original packaging (including any accessories, labels, tags, seals, etc.) and, if necessary, used only for the time strictly necessary to determine and verify its nature, characteristics and size, with due care and without any signs of wear or dirt;

    • e. products to be replaced that are part of a single order must be returned in one shipment at MV’s expense

    • c. MV reserves the right to refuse products belonging to a single order that are returned at different times and with separate shipments.

    9.2. If the above conditions are correctly fulfilled, once the email containing the replacement request has been sent, MV will process the request and send related confirmation via email. If, however, the above conditions are not met, MV will inform the Customer and send the products back to the Customer at their expense.

    9.3. After receiving the products subject to replacement, the necessary checks will be carried out on the returned product and subsequently the availability of the requested replacement product in stock will be verified.

    9.4. If the products selected for replacement are not available in stock, the replacement request cannot be accepted and the Customer will be refunded the price paid for the returned product in accordance with the provisions on the Right of Withdrawal. In any case, the Customer will be contacted by Customer Service if their replacement request is not possible.

    9.5. If, on the other hand, the products requested for replacement are in stock, you will be sent a confirmation email for the shipment of the replacement product. Shipment will take place within 30 days of the replacement request following verification of the condition of the replaced product.

    9.6. For product replacement, the Customer may use the courier indicated by MV, duly communicated via email during the processing of the request. It is understood that the Customer is in any case free to use other couriers; in any case, the related shipping costs will be entirely borne by MV.

     

    1. Warranty

     

    10.1. The Products are covered by the legal warranty of conformity pursuant to arts. 128 et seq. of Legislative Decree 206/2005 (the “Consumer Code”). This warranty is reserved for Customers. MV is therefore liable to Customers for any lack of conformity existing at the time of delivery of the Products and that becomes apparent within two years from delivery of the Products. In such case, the Customer is entitled to have the conformity of the Products restored, free of charge, by repair or replacement, or to an appropriate reduction of the price or termination of the contract under the terms and conditions set out in art. 130 of the Consumer Code.

    10.2. MV reserves the right to assess the defects and non-conformities reported by the Customer and, after carrying out the quality checks to verify the actual non-conformity of the Product, will provide feedback via email to the address provided during the Website registration process or when placing the order. In the event of a defect or non-conformity, the consumer will be entitled to repair or replace the product if explicitly requested; if such remedies are impossible or excessively burdensome, as well as in other cases provided by law, the Customer will be entitled to a refund of the price paid, using the same means of payment used by the Customer for the initial transaction.

    10.3. The Customer loses the aforementioned rights if they do not report the lack of conformity to MV within two months from the date it was discovered. Any action to assert defects not fraudulently concealed by MV is, in any case, time-barred within twenty-six months from delivery of the goods.

    10.4. The costs necessary to bring the Products into conformity with the contract, including shipping costs, will be borne by MV.

    10.5. The Customer acknowledges that it will not be possible to return non-conforming Products purchased on the Website to physical stores of authorized retailers.

    10.7. The Customer must return the defective Products to MV by handing them over to the courier for shipment.

    10.8. The Products, insofar as possible, must be returned in their original condition and packaging with the identification tag still attached.

    10.9. For the return of defective Products, the Customer may use the courier indicated by MV, duly communicated during the processing of the case. All information is contained in the case acceptance email. It is understood that the Customer is in any case free to use other couriers; in any case, the related shipping costs will be entirely borne by MV.

     

    1. Applicable law and disputes

     

    11.1. These General Terms and Conditions and, consequently, the contracts concluded with Customers are governed by Italian law (in particular, the Consumer Code and Legislative Decree no. 70 of 9 April 2003, the “E-commerce Decree“) and must be interpreted accordingly.

    11.2. For all disputes relating to Orders and/or these General Terms and Conditions, the Court of the Customer’s place of domicile or residence will have jurisdiction under the applicable law or, at the Customer’s choice, the Court of Naples. Alternatively, the Customer may choose to access the platform for out-of-court dispute resolution provided by the European Commission, available at http://ec.europa.eu/odr
